The Ministry of Justice has issued a stern warning to companies that have failed to file their annual returns, stating that the Registrar of Companies will strike them off the register if they don’t comply immediately.
In statement yesterday, MOJ said many companies have defaulted on their statutory obligation to submit annual returns, prompting the Registrar to take action.
The statement further stated that “where the Registrar has reasonable cause to believe that a company is not carrying on business or is not in operation by reason of its continued default in complying with statutory filing obligations, the Registrar may take steps leading to the publication of a notice in the Gazette with a view to striking the name of the company off the Register.”
MOJ warned that failure to file annual returns constitutes an offense under the Act, for which the company and every director or officer in default may be liable to statutory fines upon conviction.
